The legislative system of the Republic of Seychelles is based on English common law and French civil law.
Most companies that are established in the Seychelles for offshore activities are created and regulated in accordance with the provisions of the International Business Companies Act 1994. However, this law does not replace the existing Companies Act 1972, which is based on English law.
The Companies Act regulates the activities of companies other than international business companies (“IBC”), as well as the activities of offshore companies that can not use IBC to conduct business, for example, insurance companies, banks and joint funds.
