How to register a representative office in Ukraine?

Opening a representative office is one of the most common ways for a foreign company to operate in Ukraine. In order to register a representative office in Ukraine, the client must provide:

  • An extract from the trade, banking or judicial register of the country of the main management body of the parent company;
  • A certificate from the bank where the account of the foreign company is opened;
  • A photocopy of the passport and individual tax number of the director and chief accountant of the representative office (if any);
  • Power of attorney to perform representative functions in Ukraine;
  • Information about the purpose of opening and the field of activity of the representative office, about business relations with Ukrainian partners and prospects for the development of cooperation;
  • Office lease agreement for representative office (drawing up the agreement can be undertaken by our employees);
  • State fee for registration of a representative office of a foreign company in the amount of 2,500 US dollars.

Upon completion of the registration process, the client will receive the following documents:

  • The decision of the founders or a body authorized by them of a foreign company to establish a representative office;
  • Regulations on representation;
  • Power of attorney to fulfill the obligations of the director;
  • Certificate of registration of a foreign representative office in the unified register of foreign representative offices;
  • Certificate of the statistics body on the assignment of the EDRPOU code
  • Certificate of registration with the tax authorities as a payer / non-payer of taxes;
  • Agreement with a bank on opening an account;
  • Seal.

A representative office that does not conduct commercial activities, does not pay income tax, and can be used to perform preparatory and auxiliary functions (carrying out marketing and advertising activities, demonstrating and storing goods, owning real estate and other assets in Ukraine, concluding and supporting contracts, etc.) .P.). In the case when a representative office of a foreign company intends to conduct commercial activities on behalf of the parent company, it must be registered with the tax authority at the location and receive the status of a permanent representative office, that is, become a tax payer.

In accordance with the Civil Code of Ukraine, a representative office is not a legal entity and cannot conduct independent commercial activities. It operates on the basis of a regulation approved by the parent legal entity that created it, endowed with the property of this entity and managed by a manager appointed by this entity under a power of attorney. In this regard, a foreign representative office has a number of advantages, such as:

  • ability of the parent company to directly control the activities and provide direct financing of the representative office;
  • use of the “authority” of the parent company in dealing with contractors;
  • no need to form the authorized capital;
  • the possibility of hiring foreigners without obtaining a work permit;
  • some customs and tax benefits.
